Token cap - 50.000.000 MIT The Fund's initial token offering, or "ITO", of the Fund's MIT will be capped at $25,000,000, plus an amount equal to 10% thereof as a holdbackfor future investment opportunities in the portfolio, for a total offering amount of $27,500,000. Eligibility to invest inthe Fund and acquire MIT is open globally; however, no US or European Union residents may participate. At the ITO's termination, Intellisys will burn any MIT that have not been purchased. Mainstreet Investment ownership: Mainstreet Investment Token (MIT holders): 50% and Intellisys: 50% So, 50% of company will be sold on ITO.

Dividend distribution planned
The Investors, as MIT holders, are entitled to receive the first distributions from each class of Fund investments. The Fund Agreement provides that the Investors are given preferred treatment for a 10% annual cash-on-cash return (the “Preferred Return”). Next, Intellisys is entitled to a catch-up on that Preferred Return equal to 10% of the amount distributed to the Investors. All additional amounts are split 50% to the Investors and 50% to Intellisys.
